API TERMS OF SERVICE
Please read these API Terms carefully. By accessing or using the Tiqets APIs, you are agreeing to these API Terms and confirm that a valid Agreement is in place between us. If you do not agree with these API Terms, the instructions included in the Tiqets APIs or if the Agreement is not or no longer validly in place between us, you must immediately cease your use of the Tiqets APIs.
(all capitalized terms as defined below)
- Introduction
- Tiqets may offer its partners the possibility of connecting with Tiqets’ booking and/or content application programming interfaces and supporting API documentation (the “Tiqets APIs”). To this end, you (as the “Partner”) and we (“Tiqets”) will enter into an agreement based on which you are permitted access to the Tiqets Platform to provide Partner Services (the “Agreement”). These API terms of service (the “API Terms”) describe the rights and responsibilities of you as a Partner when accessing and using Tiqets APIs. The API Terms and instructions included in the Tiqets APIs are incorporated in the Agreement by reference.
- Connecting to the Tiqets API
- Your agreement with these API Terms. By accessing or using the Tiqets APIs, you are agreeing to these API Terms and confirm that a valid Agreement is in place between us. If you do not agree with these API Terms or if the Agreement is not or no longer validly in place between us, you must immediately cease your use of the Tiqets APIs.
- License. Subject to the restrictions below, we grant you a non-exclusive, worldwide, non-transferable, limited license to access the Tiqets APIs only as necessary to develop, test and support an integration of your cooperation under the Agreement.
- The rules. Under your license to access the Tiqets APIs you will:
- abide by all rules and instructions included in the Tiqets APIs, including but not limited to rules on information that must be displayed in the Ticket booking or fulfilment process, rules on providing us with customer name and contact details, rules on marketing for certain products, and rules for the testing and production environment and availability request intervals;
- not access the Tiqets APIs in violation of any law or regulation;
- not access the Tiqets APIs in any manner that (i) compromises, breaks or circumvents any of our technical processes or security measures associated with the Tiqets Platform, (ii) poses a security vulnerability to customers or users of the Tiqets Platform, or (iii) tests the vulnerability of our systems or networks;
- not access the Tiqets APIs in order to replicate or compete in an unfair manner with the Tiqets Platform;
- only provide your customers with Tickets in the format as provided via the Tiqets Booking API or as otherwise explicitly agreed with Tiqets;
- not access the Tiqets API for the facilitation of Tickets to any other users than end-customers;
- only offer Tickets upon direct request of a specific customer via the Tiqets APIs, prohibiting in particular “bulk buying” Tickets in advance;
- keep your credentials (such as passwords, keys, and client IDs) confidential and make reasonable efforts to prevent and discourage other users of the Tiqets APIs from using your credentials. All activities that occur while using your credentials fall under your direct responsibility;
- not access (or attempt to access) the Tiqets API by other means than as described in the documentation of the Tiqets APIs (i.e. only using your credentials, not misrepresenting or masking either your identity when using the Tiqets APIs);
- not transfer, assign or delegate your rights and/or obligations under these API Terms without the prior written consent of Tiqets (not to be unreasonably withheld);
- not attempt to reverse engineer or otherwise derive source code, trade secrets, or know-how of the Tiqets APIs or the Tiqets Platform; or
- not attempt to use the Tiqets APIs in a manner that exceeds rate limits, or constitutes excessive or abusive usage (including performing an action with the intent of introducing to Tiqets products and services any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature).
- Privacy and transparency. Your obligations in respect of maintaining a user agreement and privacy policy for your services with your customers, the applicable legal standards, notification in case of any breaches of your user agreement or privacy policy that impact or may impact customers or users of the Tiqets Platform and other obligations are included in the Agreement.
- Violation of the Agreement, Tiqets APIs or the API Terms. If we believe that there is a violation of the Agreement, the instructions in the Tiqets APIs or the API Terms that can be remedied by you, we will, in most cases, ask you to take direct action (via your assigned contact person) rather than intervene. In some instances and where reasonably justified (e.g. in case you are not responsive or directly expose Tiqets or its suppliers to actual or potential harm) we may take direct action by restricting or blocking access to the Tiqets APIs, in which case we will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that you may incur in connection with any such direct action.
- Changes to the Tiqets APIs and these API Terms
- Changes to Tiqets APIs. We will occasionally make changes to the Tiqets APIs, including changes that may result in backwards incompatibility. In case such changes may have a considerable impact on you as a Partner we will provide you with reasonable advance notice of these changes via email and API documentation, and we advise Partners to follow this Changelog for any relevant updates in this respect.
- Changes to these API Terms. We may change these API Terms to, for example, reflect changes to our Tiqets APIs, or changes to laws and regulations. We will provide you with reasonable advance notice prior to these changes taking effect but only for changes that, in our view, may have a considerable impact on you as a Partner. You can review the most current version of the API Terms at any time online. If you keep using the Tiqets API after these API Terms have changed and entered into effect, that means you have accepted those changes and they’re binding on you. If you don’t agree with the changed terms, you must stop using the Tiqets APIs immediately.
- Term and termination
- Term and termination. These API Terms enter into effect at the time and on the date of your first access to the Tiqets API environment. These API Terms do not constitute an obligation to continue your access or use of the Tiqets APIs. If you want to terminate these API Terms, you must provide Tiqets with prior written notice and, upon termination, cease your use of the Tiqets APIs. We reserve the right to terminate these API Terms with you or discontinue the Tiqets APIs in line with the Agreement or in case of any violation of you of the Agreement, instructions of the APIs, or these API Terms, always taking your legitimate interests into account.
- Consequences of termination. Upon termination of these API Terms:
- All rights and licenses granted to you under the Agreement or these API Terms will terminate immediately;
- You will promptly destroy copies of any documentation (not available to the public) and any other information in your possession or control that was received via or in connection to the Tiqets API.
- Survival of terms. When the API Terms come to an end, those terms that by their nature are intended to continue indefinitely will continue to apply.
